By accessing or using our website located at [bixabi.com] (the "Site") and any services, features, content, or applications offered by bixabi (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
bixabi provides a platform for users to submit personal stories, testimonials, and anecdotes ("User Submissions" or "Stories"). Selected Stories may be adapted, published, and distributed by bixabi on various media platforms, including but not limited to YouTube, TikTok, and Instagram Reels. Users whose Stories are selected and published may be eligible for monetization, subject to these Terms.
3. Eligibility & User Accounts
To use the Service and be eligible for payments, you must be at least 18 years of age or the age of legal majority in your jurisdiction. You must also have a valid PayPal account and, for certain features or payment eligibility, be subscribed to or following bixabi's official media channels as specified by us. You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account (if applicable).
4. User Conduct & Responsibilities
You agree not to use the Service to:
- Submit any User Submission that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Submit any User Submission that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
- Submit any User Submission that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Engage in fraudulent activities, including but not limited to submitting false information for payment claims or manipulating engagement metrics.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
You are solely responsible for your User Submissions and the consequences of submitting and bixabi publishing them.
5. Story Submissions & Content Rights
By submitting a Story to bixabi, you represent and warrant that:
- You are the sole author and owner of the Story, or you have obtained all necessary rights, licenses, consents, and permissions to submit the Story and to grant bixabi the rights granted in these Terms.
- Your Story is original and has not been copied from any other source.
- Your Story does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other legal or moral rights of any third party.
- Your Story is accurate to the best of your knowledge.
You retain ownership of your User Submissions. However, by submitting a Story to bixabi, you grant bixabi a worldwide, non-exclusive, royalty-free (except as may be expressly agreed for monetized content), perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, adapt, modify, publish, translate, and otherwise exploit your Story in connection with the Service and bixabi's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels now known or hereafter developed.
6. Monetization and Payments
bixabi, in its sole discretion, may select certain User Submissions for publication and monetization. If your Story is selected and published on bixabi's official media outlets and generates revenue, you may be eligible to receive a portion of such revenue.
- **Eligibility:** To receive payment, you must comply with all requirements set forth by bixabi, including but not limited to maintaining a valid PayPal account and being subscribed to/following the relevant bixabi platform(s).
- **Revenue Share:** bixabi reserves the right, in its sole discretion, to determine the percentage of revenue, if any, to be shared with the author of a published Story. This percentage may vary based on factors determined by bixabi, including story performance, platform, and other considerations. Current payment potentials (e.g., "up to $1,000 USD") are illustrative and not guaranteed.
- **Payment Process:** Details regarding the payment claim process will be provided on the Site. Payments are typically processed weekly but are subject to change. You are responsible for any taxes associated with payments received.
- **Priority Club:** bixabi may, at its discretion, offer a "Priority Club" or similar program with enhanced benefits, such as potentially higher revenue shares or prioritized publication. Membership and its terms are determined solely by bixabi.
7. bixabi's Rights
bixabi reserves the following rights, exercisable in its sole discretion:
- **Accept or Reject Stories:** To accept, reject, edit, modify, or remove any User Submission for any reason or no reason, without prior notice.
- **Determine Publication and Monetization:** To decide which User Submissions are published, on which platforms, and how they are monetized.
- **Modify Revenue Share:** To change the revenue sharing model, payment terms, or payment amounts at any time, with or without notice. Future earnings from already published stories may be subject to new terms.
- **Withhold or Cancel Payments:** To investigate and withhold or cancel payments if there is any indication or suspicion of fraudulent activity, violation of these Terms, copyright infringement, misrepresentation, or other "bad practices" by the user. This includes, but is not limited to, submitting non-original content, manipulating views or engagement, or providing false information.
- **Suspend or Ban Users:** To suspend, restrict, or terminate a user's access to the Service or ability to submit Stories or receive payments if they violate these Terms, engage in prohibited conduct, or for any other reason deemed appropriate by bixabi.
- **Modify or Terminate Service:** To modify, suspend, or discontinue the Service (or any part thereof) temporarily or permanently, with or without notice. You agree that bixabi shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
- **Change Terms:** To modify or replace these Terms at any time (see Section 13).
- **Cancel Terms:** bixabi reserves the right to cancel or terminate these Terms at its discretion. In such an event, bixabi will endeavor to provide reasonable notice, but is not obligated to do so. Upon cancellation, your right to use the Service will cease, and any provisions of these Terms that by their nature should survive termination will survive (e.g., licenses granted by you, disclaimers, indemnification, limitations of liability).
8. Intellectual Property
The Service and its original content (excluding User Submissions), features, and functionality are and will remain the exclusive property of bixabi LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the [Your Country e.g., United States] and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of bixabi LLC. You do not acquire any ownership rights by using the Service.
9. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account (if applicable), you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimers
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
bixabi LLC, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.
11. Limitation of Liability
IN NO EVENT SHALL bixabi LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT PAID BY YOU TO bixabi, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless bixabi LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service, including your User Submissions.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect by posting a notice on the Site or sending you an email. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
14. Governing Law
